Apart from enjoying the low tax rate, the HK's open and liberal policy on economic activities has made the incorporation process relatively simple and straight forward as compared with many other major cities. Under normal condition, a HK Company with limited liability can normally become and fully operative within 10 working days. There are only few specific requirements as below.

	At least 1 subscriber (shareholders)
	At least 1 director
	At least 1 HK resident company secretary
	A HK registered address
	The name of the proposed HK company cannot be identical to an existing company in the register
	The name must be ended with the word "Limited"

PROCEDURES (HK COMPANY INCORPORATION):

We will provide an "Client Input Form" to complete. The information includes the proposed name of the company to be incorporated, personal details of the subscribers, the first directors and company secretary. The client are normally required to produce photocopy of the Passport or Identity Card for verification.

　

Upon provision of a duly completed Client Input Form, we will complete the paper works for incorporation within 1-2 working days for client's execution. These documents include a standard Memorandum and Articles of Association (in triplicate), the appointment of first directors, notice of registered office and application for the first year business registration.

Depending on client's specific requirements, we may act as nominee directors, secretary and provide a registered office as a separate service if in case the client do not have the details readily on hand. This is particular the case of overseas clients who are the first time to setup business in HK.

Upon execution and witness of the Memorandum and Articles of Association, we will arrange the filing on client's behalf and officially apply for the "Certificate of Incorporation" of the Companies from the HK Companies Registry.

Upon successful incorporation of the proposed HK company, we will arrange the application of the "First Year HK Business Registration Certificate".

To facilitate our client to open bank accounts in HK, we will provide free of charge a folder of "Certified True Copies" and all necessary documents that will be demanded by most bankers in HK and advise on the exact procedures to open the accounts. The documents are certified as True copy by a HK CPA with Practising Certificates from the HKICPA, the CPA licensing body in HK.

Our company incorporation service will finally come along with a standard Company Kit for our client's convenience . A standard company kit generally includes the following:

1 Statutory Book (Register of Shareholders, Register of Directors, Register of Secretaries, Register of Charges, Minutes Book, etc)

1 Share Certificate Book

1 Common Seal

2 Pre-inked Chops

20 copies of Memorandum and Articles of Association
